- BYLAWS OF TECHNOVATEHER
- Article I – Name
The name of the organization is TechnovateHER.
- Article II – Purpose
The purpose of TechnovateHER is to empower women by providing them with technical training, entrepreneurial skills, and a supportive community, enabling them to successfully transition into careers in technology and business leadership. The organization promotes inclusion, innovation, and opportunity for all women seeking to navigate or advance within the tech industry.
- Article III – Membership
1. Eligibility: Membership is open to all individuals, regardless of gender, who support the mission of TechnovateHER. Membership is intended for those committed to helping women advance their skills in technology and business.
2. Types of Membership:
• General Members: Individuals participating in programs, events, or educational offerings. These members are the core participants of TechnovateHER’s initiatives.
• Advisory Members: Individuals who provide guidance, mentorship, or expertise to further the goals of TechnovateHER. This group may include industry professionals, educators, or business leaders.
• Supporting Members: Individuals or organizations contributing resources, financial support, or sponsorships to assist with programs and events.
3. Dues: The Board of Directors shall determine if any membership dues are required. If dues are implemented, they shall be reviewed annually and set to ensure accessibility for all participants.
- Article IV – Board of Directors
- 1. Composition: The Board of Directors shall consist of at least 5 and no more than 12 members. The Board may include individuals of any gender, as long as they are aligned with the mission of empowering women in tech and entrepreneurship.
2. Roles and Responsibilities: The Board will be responsible for overseeing the strategic direction and operations of the organization. Board members include:
• President: Acts as the chief executive of the organization, overseeing operations, leading the Board, and representing TechnovateHER publicly.
• Vice President: Assists the President and steps in when the President is unavailable. Leads special projects as directed by the Board.
• Secretary: Maintains records of Board meetings, ensures compliance with reporting and filing requirements, and manages official documentation.
• Treasurer: Manages financial accounts, ensures proper financial oversight, prepares the budget, and reports on financial status.
• Director-at-Large: Serves as a general representative of the members, contributing to board discussions, leading initiatives, and supporting various organizational needs.
3. Elections and Terms:
• Term of Office: Board members will serve two-year terms and may be re-elected for subsequent terms. Elections will be held at the Annual Meeting of the organization.
• Board Vacancies: If a position becomes vacant before the end of a term, the remaining Board members shall appoint a replacement to serve the remainder of the term.
4. Duties: The Board of Directors is tasked with:
• Setting strategic goals for the organization.
• Approving the annual budget and major expenditures.
• Ensuring the sustainability and growth of the organization.
• Monitoring program effectiveness and community impact.
- Article V – Meetings
- 1. Annual Meeting: An annual meeting of all members shall be held to review the organization’s achievements, set goals for the upcoming year, and elect new board members.
2. Board Meetings: The Board of Directors shall meet at least quarterly. Meetings may be held virtually or in person. Special meetings may be called by the President or at the request of a majority of the Board members.
3. Quorum: A quorum for Board meetings shall consist of a majority of the members of the Board. Decisions require a majority vote unless otherwise specified.
4. Voting: Each Board member has one vote. In the event of a tie, the President shall have the deciding vote.
- Article VI – Committees
- 1. Establishment: The Board may form standing or ad-hoc committees to address specific tasks or organizational needs, such as fundraising, program development, event planning, or marketing.
2. Committee Leadership: Committees will be chaired by a member of the Board or a designated leader, who will report back to the full Board on progress and recommendations.
- Article VII – Financial Management
- 1. Fiscal Year: The fiscal year of TechnovateHER shall begin on January 1 and end on December 31 of each year.
2. Budget: The Treasurer shall present an annual budget to the Board for approval. The budget must be approved by a majority vote of the Board.
3. Financial Oversight: The Board shall ensure that adequate controls are in place for the proper management of the organization’s finances. Financial statements shall be reviewed at least quarterly.
4. Expenditures: All expenditures must be approved by the Treasurer and the President. Expenditures exceeding a threshold set by the Board require full Board approval.
5. Audit: The Board may authorize an annual audit of the organization’s finances, conducted either internally or by an external auditor, to ensure transparency and accountability.
- Article VIII – Amendments
- 1. These bylaws may be amended by a two-thirds majority vote of the Board of Directors, provided that proposed amendments have been presented at least 14 days prior to the meeting.
2. The membership shall be informed of significant changes to the bylaws at the Annual Meeting or through other official communication channels.
